Refund Policy

This Refund Policy applies to all services provided by AetherLogicWorks, located at C. de González Amigo, 246B, Cdad. Lineal, 28033 Madrid. It governs the terms under which refunds may be requested and processed for our software development and consulting services.

2. Project-Based Services

For custom software development projects, refunds are handled as follows:

Initial Deposit: Non-refundable once project kickoff has occurred and initial deliverables have been provided
Milestone Payments: Refundable for work not yet commenced at the time of cancellation request
Completed Work: Non-refundable for work that has been delivered and accepted by the client

3. Cancellation Terms

Clients may cancel a project under the following conditions:

14+ Days Notice: Full refund of prepaid amounts for work not yet commenced
7-14 Days Notice: 75% refund of prepaid amounts for work not yet commenced
Less than 7 Days Notice: 50% refund of prepaid amounts for work not yet commenced
After Work Commencement: Refund calculated based on percentage of work completed versus remaining

4. Subscription Services

For ongoing maintenance, support, or subscription-based services:

Monthly subscriptions: Cancel with 30 days notice; refund for the current month if cancelled before services are rendered
Annual subscriptions: Pro-rated refund for unused months, minus a 10% administrative fee
Setup fees: Non-refundable once the service has been activated

5. Quality Disputes

If you are dissatisfied with the quality of delivered work:

Contact us within 14 days of delivery with specific quality concerns
We will review the deliverables against agreed specifications
If valid quality issues are identified, we will either rectify the work at no cost or issue a partial refund
Disputes regarding subjective preferences (design aesthetics) are handled through our revision process, not refunds

6. Refund Processing

Approved refunds are processed as follows:

Refunds are issued to the original payment method
Processing time: 5-10 business days from approval
Bank transfer fees are deducted from the refund amount
Currency conversion differences are not covered by AetherLogicWorks

7. Exceptions

Refunds will not be provided for: (a) work completed and delivered according to specifications; (b) delays caused by client unresponsiveness or late provision of required materials; (c) changes in project scope requested by the client; (d) third-party service costs incurred on behalf of the client.

8. Dispute Resolution

Any disputes regarding refunds that cannot be resolved through direct negotiation shall be submitted to binding arbitration in accordance with the rules of the Spanish Arbitration Commission, with proceedings held in Madrid, Spain.

Terms of Service

1. Acceptance of Terms

By accessing or using the services of AetherLogicWorks ("Company"), located at C. de González Amigo, 246B, Cdad. Lineal, 28033 Madrid, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

2. Services Description

AetherLogicWorks provides custom software development, consulting, and related technology services including but not limited to:

Custom software application development
API integration and microservices architecture
Cloud infrastructure design and deployment
Database architecture and optimization
DevOps and CI/CD pipeline implementation
Security assessment and compliance consulting
Mobile application development
AI and machine learning integration
Technical consulting and architecture review

3. Client Obligations

Clients agree to:

Provide accurate, complete, and timely information necessary for project execution
Designate a primary point of contact with decision-making authority
Review and provide feedback on deliverables within agreed timeframes
Make payments according to the agreed schedule
Comply with all applicable laws and regulations
Maintain confidentiality of proprietary information shared during the engagement

4. Intellectual Property

Upon full payment for services rendered:

Client Ownership: All custom code, designs, and documentation created specifically for the client become the client's property
Pre-existing IP: AetherLogicWorks retains ownership of pre-existing frameworks, libraries, and tools used in development
License Grant: AetherLogicWorks grants clients a perpetual, non-exclusive license to use any pre-existing IP incorporated into deliverables
Portfolio Rights: AetherLogicWorks may display general project information in marketing materials unless expressly prohibited by the client

5. Payment Terms

Invoices are payable within 14 days of issuance unless otherwise agreed
Late payments incur a 1.5% monthly interest charge
All prices are in EUR unless otherwise specified
Expenses (travel, third-party services) are billed separately with prior approval
AetherLogicWorks reserves the right to suspend work for overdue payments

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of 3 years. Exceptions apply for information that becomes publicly available through no fault of the receiving party or is required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by law, AetherLogicWorks' total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim. AetherLogicWorks shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Warranty

AetherLogicWorks warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties include:

90-day warranty on delivered code against defects in materials and workmanship
Rectification of confirmed bugs at no additional cost during the warranty period
No warranty for issues arising from client modifications, third-party integrations, or environmental factors

9. Termination

Either party may terminate the agreement:

With 30 days written notice for ongoing engagements
Immediately for material breach that remains uncured for 15 days after written notice
Immediately if the other party becomes insolvent or enters bankruptcy proceedings

Upon termination, the client shall pay for all work completed up to the termination date.

10. Governing Law

These Terms of Service are governed by the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, unless otherwise agreed in writing.

11. Modifications

AetherLogicWorks reserves the right to modify these Terms of Service at any time. Changes become effective upon posting to the website. Continued use of services after changes constitutes acceptance of the modified terms.

12. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms shall remain in full force and effect.

13. Entire Agreement

These Terms of Service, together with any applicable Statement of Work or Service Agreement, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
